Chapter I. Name, purpose and addressArticle 1Under the name of Alpha Academy Association, which regulate their activities according to the Law 7/1997, of June 18th, associations (DOGC 2423, July 1) is formed, the Organic Law 1/2002, of 22 March, regulating the right of association (BOE No 73, of March 26), and its statutes. Article 2The aim of the association is the promotion of education, science and research, public health, medicine, education, the environment and conservation as well as development aid and international and global cultural understanding. Also the association is oriented to provide solutions and education for all. Defending the idea that nothing is more important and valuable today to understand and promote sustainability. The purpose of the Association is to encourage and promote public education, especially in children with high IQs, as well as those who have an exceptional talent. Whether they are children, adolescents or adults. The association also aims to the task of developing an independent, objective and rational thinking to support innovative and instruction of people with specific professional skills and assisting them for training and honing their skills for personal development. The association achieves its objectives, particularly through interactive learning programs on the Internet, by issuing its own magazine on various online content, informing the public and providing members a useful database. In order to achieve the purpose of the association, the association will be attended by experts and assistants as well as collaboration with other corporations where appropriate. The Association supports the principle of equal opportunities. And the principle of non-discrimination against people on grounds of nationality, origin, race, skin-color, religion, sex, age and ideology. The association also aims to enforce these principles to their members and supervise its implementation. The association shall have full freedom to work or join other organizations. The funds may only be used for lawful purposes. Members in its membership cannot obtain any benefit from the association, or be entitled to any items of the assets of the association. No person may benefit from expenses that are the purpose of the association, or overcompensation. All profit is excluded. Article 3.To fulfil its purposes, the Association may perform the following activities and actions: conferences, seminars, publications, interviews, meetings, awareness campaigns, publications, conferences and debates, competitions, courses, schools, exhibitions and leisure activities , cultural and sports leisure, social animation, professionals, and all those that contribute to achieving the aims of the association Alpha Academy. Article 4.The duration of the Association is indefinite. The dissolution agreement shall be taken under these statutes. Article 5The domicile of the association is established in Cuba Street 84, Valle Romano, Estepona, Malaga 29680. The main field of activity of the company is the registered office. However, it is also considered indicative of the level of activity, any other geographic reference (whether local, state or international) related to the activities of the association. The Board may, if necessary, modify the address. Chapter II. Members of the association, their rights and obligationsArticle 6All people over 18 years may be part of the association. They must submit a written request to the Board, which will decide on this issue at the first meeting to take place and communicate in the immediate General Assembly. Partners minors if any, have no vote in the assemblies or may elect or be elected to the Board. Active members are those who are of age, ie those who are over 18 may only have a vote in the General Assembly. Each member has one vote. Passive members have no voting rights, but are entitled to speak at the General Assembly. Article 7The rights of the members of the association: Attend and vote at meetings of the General Assembly. Article 8The duties of the members of the association: Commit to the goals of the association and actively participate to get them. Article 9They are causes to be discharged from the association: Decides that the person concerned has to communicate its decision in writing to the Board. Chapter III.general AssemblyArticle 10The General Assembly is the sovereign body of the association; its members are part of it for himself and inalienable right. All members are subject to the resolutions of the General Assembly, including those absent, those who disagree and those present who abstained from voting. Article 11The General Assembly has the following powers: Amend the bylaws. Article 12The General Assembly meets in regular session at least once a year, in the months between January and June, inclusive The governing body may convene the extraordinary general assembly whenever it deems convenient, and has to do when requested by a number of members not less than 10%; in this case, the meeting must take place within thirty days of the request. Article 13The meeting will be convened by the governing body through a call that must contain at least the agenda, place, date and time of the meeting. Article 14The general assembly is valid whatever the number of members present or represented. Article 15At meetings of the General Assembly, one vote to each member of the association. Chapter IV. The BoardArticle 16Governs, administers and represents the association's Board of Directors, comprising the president, vice president, secretary, treasurer and members. These charges must be held by different people. Article 17The members of the Board of Directors hold office for a period of five years without prejudicing bereelected. b) Illness incapacitating to hold office c) Low as a member of the association d) Punishment for a foul on tenure, imposed in accordance with the provisions of Article 13.3 of the Statute. Article 19The Board, convened by the president or the person who replaces him, is to meet in ordinary session at intervals to its members decide, and in no case cannot be less than three. Article 20The Board is validly constituted if convened in advance and there is a quorum of half plus one. Article 21The Board may delegate some of its powers to one or various committees or working groups if it has to do with the favourable vote of two thirds of its members. Article 22The resolutions of the Board are to be recorded in the minutes and must be signed by the secretary and the president. At the beginning of each meeting of the Board, be read the minutes of the previous session to be approved or rectified, if appropriate. Chapter V. The president and vice president Article 23These are the functions of the president: a)He/She Directly and legally represent the association, by delegation of the General Assembly and the Board.b) Preside and chair the proceedings of both the General Assembly and the Board. c) Issue a deciding vote in case of a tie. d) Establish the convening of meetings of the General Assembly and the Board. e) Endorse the minutes and certificates made by the secretary of the association f) The remaining powers of own position and those delegated to it by which the General Assembly or the Board. The President is replaced in his absence or illness, by the Vice President or the oldest member of the Board in that order. Chapter VI. The treasurer and secretaryArticle 24The treasurer is responsible for the custody and control of the resources of the association, as well as budgeting and balance and clearance of accounts. It carries a cash book. Signature, quota, receipts and other treasury documents. Pays the bills approved by the Board, which must be approved by the president, and enters the surplus in deposits at credit or savings. Article 25The secretary must keep documentation of the association, lifting, draft and sign the minutes of the meetings of the General Assembly and the Board, write and authorize the certificates it takes to deliver and bring the register of members. Chapter VII. Committees or working groupsArticle 26The creation and constitution of any committee or working group are to raise the members of the association who want to train, they have to inform the Board and explain the activities they intend to undertake. Chapter VIII. Article 30In current accounts or savings books opened in credit or savings, must bear the signatures of the president, treasurer and secretary. Chapter IX. The disciplinary systemArticle 31The governing body may punish offenses committed by defaulting partners. Chapter X. DissolutionArticle 32The association may be dissolved if agreed by the General Assembly, specially convened expressly for this purpose. Article 33Once agreed the dissolution, the General Assembly must take appropriate action both as regards the destination of the goods and rights of association as to the purpose, the termination and settlement of any pending operation. | |||
