Welcome to the Apex Ecosystem
Welcome to Apex Business Group Worldwide S.L. and its partners (“Apex”, “we”, “us”, or “our”), registered in Spain (CIF: B93697449), headquartered at Sotogrande, Cádiz, Andalucía, Spain. These Terms of Use (“Terms”) govern your access to and use of all websites, platforms, applications, and services within the Apex Ecosystem — including abc-worldwide.com, myapex.me, gotoapex.com, apexmasterexpos.com, apex-invoice.com, apexsmartpay.com, apex.shopping, apexmegastore.com, apex-mega.com, apexluxurycollection.com, alphaacademies.org, and all Apex Multiverse portals (collectively, the “Platform”). By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
1. Basic Terms & Eligibility
You may use our Services only if you are at least 18 years old and can form a legally binding contract in compliance with applicable laws. Users under the age of eighteen (18) are not permitted to register or use any part of the Apex Ecosystem.
If you are using our Services on behalf of a company or other entity, you represent and warrant that you are at least 18 years old and authorised to legally bind that entity to these Terms. Accounts are personal and non-transferable — you are not allowed to rent, sell, lease, sublicense, or otherwise transfer your account or any access to our Services to any third party.
You agree to provide only true and accurate information in connection with your account and to update all such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We reserve the right to reclaim or repurpose any username or URL at any time at our sole discretion.
2. The Apex Society & Brand Identity
All Apex Members, Participants, Clubs, Groups, and the Apex Multiverses together form the Apex Society. The Apex Ecosystem is one unified project with multiple brand names — all legally owned and protected by Apex Business Group Worldwide S.L., Spain:
- GoToApex (gotoapex.com) — the main entry portal and gateway
- Apex Hubs — the network of specialized industry, sector, and regional portals
- Apex Multiverses — the collective name for all 50+ interconnected portals
- Apex Business Clubs (ABC) — the professional networking and business club community
- Apex Society (apex-society.com) — the collective community identity
- Apex Qi — the proprietary SaaS technology and digital infrastructure
- MyApex (myapex.me) — the member dashboard and personal site system
All names, logos, domains, and marks are registered trademarks and intellectual property of Apex Business Group Worldwide S.L. No person, member, or entity may use any of these brand names without prior written permission from Apex.
3. What Apex Is — and Is NOT
Apex IS:
- A global ecosystem platform for business networking and professional connection across 80+ countries
- A promotion, visibility, and connection platform for members and their businesses, services, and products
- A digital infrastructure providing tools for commerce, events, media, and collaboration
Apex is NOT:
- An employer, staffing agency, or recruiter of any kind
- A broker, dealer, or intermediary in any financial transaction
- A licensed financial advisor, investment advisor, or wealth manager
- A seller or manufacturer of any products displayed on the Platform
- The organizer of all events promoted within the Ecosystem — many are organized by independent third parties
- A guarantor of any outcome, success, investment return, sale, partnership, or business opportunity
All members act independently and are solely responsible for their own business activities, decisions, content, communications, transactions, and compliance with applicable laws.
4. Ownership & Intellectual Property
All Services and Content are protected by intellectual property laws. Apex retains all rights, title, and interest in its platform, branding, architecture, design, code, and materials. The Apex Ecosystem is an original, hand-written, human-developed digital ecosystem — it was not generated by artificial intelligence. All copyrights, patents, trade secrets, design rights, database rights, and proprietary rights are owned exclusively by Apex Business Group Worldwide S.L.
You retain ownership of your User Content but grant Apex a non-exclusive, worldwide, perpetual, royalty-free, sublicensable licence to use, host, store, process, reproduce, distribute, adapt, publicly display, and create derivative works from your User Content for operating, promoting, and improving the Services.
No part of the Ecosystem may be copied, reproduced, reverse-engineered, decompiled, scraped, mirrored, or replicated without prior written permission from Apex.
5. User Content & Member Responsibility
You are solely responsible for all User Content you submit. We reserve the right to remove content at our discretion at any time, without notice or liability. Members are fully responsible for the accuracy and legality of all content they publish and all communications and transactions with other members or third parties.
Apex does not act as publisher, moderator, editor, or curator of member content and is not responsible for any loss, damage, or dispute arising from reliance on such content.
6. Golden Ads, PPP Pricing & Content System
Every registered Member and Participant receives up to 10 ads free of charge. Additional ads are available through the paid Golden Ads system. Members receive a 50% discount on Golden Ads pricing.
Apex implements Purchasing Power Parity (PPP) pricing based on World Bank data. Four-tier model: High-income countries (standard rate); Middle-income (~50% reduction); Lower-income (~70% reduction); Developing countries (~80% reduction).
7. Exhibitor & Event Terms
By using exhibitor or event services, you also agree to the terms at abc-worldwide.com/exhibitor and abc-worldwide.com/exhibitor/faq.
Postpone-Not-Cancel Guarantee: Apex does not cancel events — events may only be postponed. All exhibitor packages and visitor tickets remain valid for the rescheduled event. No cash refunds are provided — all changes result in vouchers or credits valid globally.
Payments & Deposits: The 50% deposit is non-refundable once the booth confirmation invoice has been issued. Balance (50%) is due four weeks before the event opening date. All invoicing is handled exclusively through apex-invoice.com.
Participation at Own Risk: Every exhibitor, speaker, sponsor, visitor, attendee, performer, partner, and participant takes part in all Apex events entirely at their own risk. Apex does not provide, offer, or arrange any insurance or liability coverage of any kind.
Swiss Arbitration: All disputes related to Apex Master Expos, Events, Franchise agreements, Operator agreements, and Exhibitor contracts are subject to arbitration through the Swiss Arbitration Centre, Zurich, Switzerland.
8. Marketplace, Shopping & ApexPay
All transactions are between buyer and seller directly. Apex acts solely as the platform provider and is not a party to, participant in, or guarantor of any transaction.
ApexPay is the secure escrow platform: Buyer pays → ApexPay holds funds → Seller delivers → Buyer confirms → Payment released. Powered by licensed fintech partners (Solaris, Marqeta, Wallester) providing EU banking compliance and KYC/AML protection.
Members Must NOT Sell, Buy, or Promote:
- Illegal products or services of any kind in any jurisdiction
- Counterfeit, fake, or replica goods
- Weapons, ammunition, explosives, or military equipment
- Drugs, controlled substances, or unapproved pharmaceuticals
- Adult content, pornography, or sexually explicit material
- Stolen property, fraud, or items obtained through illegal means
- Hate speech, extremist material, or content promoting violence or discrimination
9. Global Rules & General Restrictions
Strictly prohibited: spam or unsolicited communications; hacking, scraping, or unauthorized data collection; impersonation of Apex staff or other members; pyramid schemes, MLM recruitment, or unauthorized business opportunity promotion; use of the Platform to facilitate illegal financial schemes or fraud. Violation may result in immediate account suspension or permanent ban.
10. Privacy, Cookies & Data
Our Privacy Policy and Cookie Policy (available at policies.abc-worldwide.com) govern how we collect, use, and store your data. By registering, you consent to our data practices as described in those policies. We comply with GDPR (EU), LOPD-GDD (Spain), PDPA (Singapore), and applicable data protection laws worldwide.
11. ApexPay & Financial Services
ApexPay is an escrow and payment facilitation service. Apex is not a bank, financial institution, or licensed money transmitter. All financial services within ApexPay are provided by licensed third-party fintech partners. Apex is not liable for any loss of funds, errors in payment processing, or disputes between users and third-party payment providers.
12. Apex Business Club Membership
Membership fees are non-refundable. Membership may be suspended or terminated for violation of these Terms. Members are not employees, agents, or representatives of Apex. ABC membership does not grant any ownership interest in Apex.
13. Affiliate, Referral & Commission System
Commission structures, rates, and payment terms are governed by the specific affiliate agreement applicable to your membership tier. Apex reserves the right to modify commission rates with 30 days’ notice. Fraudulent referrals will result in account termination and forfeiture of all commissions.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Apex shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Platform, unauthorized access or alterations to your data, any third-party content on the Platform, or any other matter related to the Services.
Apex’s total liability for any claim shall not exceed the greater of: (a) total amounts paid by you to Apex in the preceding 12 months, or (b) €100 EUR.
15. Indemnification
You agree to indemnify and hold harmless Apex and its officers, directors, employees, partners, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms, your User Content, your interaction with other users, or your violation of any applicable laws.
16. Disclaimers & No Warranties
The Services are provided “AS IS” and “AS AVAILABLE” without warranty of any kind. Apex expressly disclaims all warranties, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
17. Third-Party Services & Links
The Platform may contain links to third-party websites or services. Apex does not endorse or assume any responsibility for third-party content or services. Your use of third-party services is governed by their respective terms and privacy policies.
18. Apex Travel Club
All travel services are provided by licensed third-party travel partners. Apex acts solely as a platform and is not responsible for travel arrangements, cancellations, or service quality provided by third parties.
19. Franchise & Operator Agreements
Apex Franchise and Operator agreements are governed by separate written agreements. In the event of any conflict between these Terms and a signed Franchise or Operator Agreement, the signed Agreement prevails. All Franchise and Operator disputes are subject to Swiss Arbitration.
20. DMCA & Copyright Complaints
If you believe content on our Platform infringes your copyright, please send a DMCA notice to dmca@abc-worldwide.com with identification of the copyrighted work, identification of the infringing material and its location, your contact information, and a statement of good faith belief.
21. Children & Minors
The Platform may not be used by persons under the age of 18. We do not knowingly collect personal data from minors. Parents or guardians who believe their child has registered must contact us immediately at privacy@abc-worldwide.com.
22. Force Majeure
Apex shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, pandemic, government actions, natural disasters, or internet outages.
23. Governing Law & Dispute Resolution
Primary Governing Law: Spanish law, specifically the laws of Andalucía, Spain.
International Arbitration — Swiss Law: For all disputes related to Apex Master Expos, Events, Expos, Franchise, Operator, and Exhibitor contracts — arbitration through the Swiss Arbitration Centre, Zurich, Switzerland. Conducted in English. The arbitral award is final and binding.
Dispute Resolution Steps: (1) Direct good-faith negotiation; (2) Written complaint to Apex at legal@abc-worldwide.com; (3) Formal mediation (costs shared equally); (4) Swiss Arbitration Centre for international/event disputes; (5) Courts of Spain for all other disputes.
Class Action Waiver: Any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
24. Changes to Services & Terms
Apex may modify or discontinue Services at any time. We may update these Terms without prior notice. The “Last Updated” date will be revised. Continued use of the Services constitutes acceptance of updated Terms.
25. Termination
We may suspend or terminate your access at any time, with or without notice, if you violate these Terms. Apex reserves the absolute right to permanently remove any member account without prior notice if Apex determines that the member’s presence or activity poses a risk to the integrity, safety, or reputation of the Platform.
26. General Legal Provisions
Severability: If any provision is found invalid, the remaining provisions continue in full force. Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and the Global Terms at abc-worldwide.com/terms, constitute the entire agreement between you and Apex. No Waiver: Apex’s failure to enforce any right shall not constitute a waiver. Governing Language: English; translations are for convenience only.
